By visiting or using the site, submitting an inquiry, or entering an engagement with Calmstonepath, you accept and agree to these terms. If you represent an organization, you confirm you have authority to bind that organization to these terms. If you do not agree, please do not use our services or website. The terms below describe service scope, eligibility, permitted use, intellectual property rights, limitations of liability, and dispute resolution. They work together with any separate written agreement we sign for an engagement; in a conflict, the signed engagement agreement controls. Eligibility and scope of services
Calmstonepath provides advisory, diagnostic, and implementation services aimed at helping organizations design and execute multi-year growth programs. Services may include market analysis, customer experience design, technology and data strategy, pilot programs, and stabilization playbooks. Use of our site and initial inquiries do not establish a client relationship. Engagement terms, fees, deliverables, and timelines are set out in a separate written agreement signed by both parties prior to commencement. You must be at least 18 years old and have the capacity to form a binding agreement to enter into engagements. You agree to provide accurate information necessary for the delivery of services, to cooperate with our team, and to provide timely access to data, personnel, and environments when required. We may decline engagements for any lawful reason, including conflicts of interest or lack of alignment. Services are delivered based on the scope in the signed agreement; additional work, including scope changes, will be handled by written change orders with associated fees. We aim to work collaboratively and transparently to produce measurable outcomes aligned to agreed KPIs and milestones over the program duration.
Permitted use, content, and intellectual property
The content on our website, including text, images, templates, methodologies, and tools, is protected by copyright and other intellectual property laws. Calmstonepath grants you a limited, non-exclusive, non-transferable license to access and use the site for informational and business inquiry purposes. You may not copy, distribute, modify, or create derivative works from our proprietary materials without prior written permission. When we deliver work under an engagement, intellectual property allocation is governed by the signed agreement; generally, Calmstonepath retains ownership of preexisting methodologies and tools while granting clients a license to use deliverables for internal business purposes. If the engagement includes transfer of specific deliverables, the agreement will specify ownership and licensing terms. You agree not to use our brand, trademarks, or logos except with our written consent. You may submit feedback, suggestions, or materials to us; by doing so you grant Calmstonepath a royalty-free, perpetual, irrevocable license to use that feedback to improve services. Please do not post content that is unlawful, infringing, or harmful when interacting with our site or communications channels.
Disclaimers and limitation of liability
To the fullest extent permitted by law, Calmstonepath provides services and site content on an as-is and as-available basis. While we apply professional care and industry best practices, we do not guarantee specific business outcomes, revenue targets, or market positions. Business results depend on many factors outside our control, including market conditions, client execution, regulatory change, and third-party actions. We disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Except where prohibited by law, Calmstonepath's aggregate liability for claims arising from these terms, the site, or an engagement is limited to amounts actually paid to Calmstonepath under the relevant written agreement in the 12 months prior to the claim, or one thousand US dollars if no agreement exists. Under no circumstances will Calmstonepath be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost business opportunities. You agree to indemnify and hold Calmstonepath harmless from third-party claims arising from your misuse of the site, breach of these terms, or violation of applicable laws. These limitations are fundamental to the economics of offering our advisory services and site access.
Confidentiality and data
During engagements, parties may exchange confidential information. We treat client confidential information with care and process it as described in the engagement agreement and our Privacy Policy. For marketing inquiries and site interactions, we collect and use data in accordance with the Privacy Policy at /privacy/. We implement reasonable security controls, but you are responsible for securing your systems, credentials, and any data you share. If you provide sensitive personal data through the site, we will only use it as necessary to respond to your request and in line with the Privacy Policy. For client work, data transfers and handling will be governed by the signed agreement, including any required data processing addenda for jurisdictions with specific data protection requirements. If you need a specific data protection agreement, please bring this up during contracting so appropriate measures and contractual language can be included prior to data sharing.
Governing law, disputes, and changes
These terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. For disputes between Calmstonepath and a client, the parties will first seek to resolve matters in good faith via negotiation. If unresolved, disputes will be subject to binding arbitration in San Francisco, California, unless the parties agree otherwise in writing. For users who are consumers in jurisdictions where arbitration clauses are not enforceable, local statutory rights will apply. Calmstonepath may revise these terms at any time by posting an updated version at /terms/ with a new effective date. Material changes that affect your rights will be highlighted when feasible. Continued use of the site or our services after the effective date constitutes acceptance of the updated terms.
